Non-Disclosure Agreement (NDA) Policy

AIGHICS (Global Strategic Center for AI–Human Intelligence) is committed to maintaining the confidentiality and integrity of all proprietary, sensitive, and non-public information shared by clients, partners, employees, and other stakeholders. This Non-Disclosure Agreement (NDA) Policy outlines our obligations and responsibilities with respect to confidential information.

1. Definition of Confidential Information

Confidential Information includes, but is not limited to:

• Business strategies, plans, frameworks, and operating models
• Source code, software systems, documentation, designs, and architectures
• Client, partner, and stakeholder data, including personal information
• Financial information, pricing models, and commercial terms
• Proprietary tools, methodologies, databases, and internal processes
• Any other non-public information identified or reasonably understood as confidential

2. Obligations of Confidentiality

• AIGHICS will not disclose, share, or make available any confidential information to third parties without prior written consent from the disclosing party.
• Confidential information will be used solely for the purpose of delivering agreed services or as explicitly authorized in writing.
• All confidential information will be stored securely and access will be limited to authorized personnel on a strict need-to-know basis.

3. Exclusions

Confidential Information does not include information that:

• Is publicly available at the time of disclosure
• Becomes publicly available through no fault or breach by AIGHICS
• Was lawfully known to the receiving party prior to disclosure
• Is independently developed without reference to confidential information
• Is required to be disclosed by applicable law, court order, or governmental authority

4. Duration of Confidentiality

The obligations of confidentiality under this policy shall remain in effect for a period of five (5) years from the date of disclosure, unless a different duration is specified in a separately executed written NDA.

5. Return or Destruction of Information

Upon request or upon termination of the business relationship, AIGHICS will promptly return or securely destroy all confidential information received, unless retention is required by law or otherwise agreed in writing.

6. Breach and Remedies

Any unauthorized use or disclosure of confidential information constitutes a breach of this policy. In such cases, the disclosing party may pursue appropriate legal remedies, including injunctive relief and claims for damages.
